Terms of Service

These terms form an agreement between you (the merchant) and Veda Digital Solutions Pty Ltd (ABN 21 690 553 621 / ACN 690 553 621), an Australian proprietary limited company that operates the Price Matcher app (“Price Matcher”, “we”, “us”, or “our”). They govern your use of the Service.

The service

Price Matcher evaluates shopper-submitted competitor prices against your catalogue and rules, and can create draft orders and invoices for approved matches. You are responsible for configuring your price-match flows, thresholds, and which competitors you accept.

Plans & billing

Paid plans include a set number of price-match checks per billing period; usage beyond that is billed as overage up to your plan’s cap, through Shopify’s billing system. The free trial is limited to a fixed number of checks. Fees are charged via Shopify and are subject to Shopify’s billing terms.

Acceptable use

You agree to use the app lawfully and only for your own store. Competitor price checks are performed on pages a shopper explicitly links to; you are responsible for ensuring your price-matching practices comply with applicable law and the terms of the sites involved.

Automated & AI matching

Price Matcher uses automated and AI-based methods to read a shopper-supplied competitor link and judge whether it refers to the same product, variant, and current model as your item, and to extract the competitor’s price. These automated judgments can be wrong. The app may incorrectly treat a different product, a different variant or option, an older or different model, or an unrelated listing as a match (or fail to match a genuine one), and a price read from a page may be inaccurate or out of date. You are responsible for reviewing matches before they result in an order — whether you approve them manually or configure the app to auto-approve them under your own thresholds. Auto-approval is a setting you control, and any resulting draft order or discount is issued in reliance on your configuration. To the extent permitted by law, we are not liable for losses arising from an incorrect automated match or price extraction.

Availability & disclaimers

We aim for high availability but the service is provided “as is”, without warranties. Uncertain matches are routed to you for manual review rather than auto-approved. We are not liable for indirect or consequential damages to the extent permitted by law.

Termination

You may uninstall the app at any time; on uninstall we revoke access and, after Shopify’s retention window, delete your data. We may suspend access for breach of these terms.

Governing law

These terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that state. Nothing in these terms limits any rights you may have under the Australian Consumer Law or other mandatory consumer protections in your jurisdiction.

Changes

We may update these terms; continued use after an update constitutes acceptance.
